Governing Law and Jurisdiction
All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the State of Florida without giving effect to any choice or conflict of law provision or rule.
You agree that any action at law or in equity arising out of or relating to the Terms of Use and any content therein that is not subject to arbitration shall be filed, and that venue properly lies, only in the state or federal courts located in either Hillsborough, Florida, United States of America and you consent and submit to the personal jurisdiction of such courts for the purposes of litigating such action.
Arbitration
You and Company agree to resolve, by binding arbitration as provided below, all Disputes (including any related disputes involving Company, its parent companies, subsidiaries, or affiliates) except for: (i) any claim that qualifies for small claims court and proceeds on an individual (non-class, non-representative) basis, consistent with the jurisdictional and dollar limits that may apply; and (ii) any Dispute relating to the ownership or enforcement of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents).
"Dispute" includes any claim, dispute, action, or other controversy, whether based on past, present, or future events, arising out of or relating in any way to this Terms of Use, the Company Website, and any services offered by Company or through the Website, whether based in contract, tort, statute, fraud, misrepresentation, common law, or any other legal theory. These arbitration provisions include the exclusive authority to resolve any dispute relating to its interpretation, applicability, enforceability, or formation, including, without limitation, the arbitrability of any dispute, and any claim that all or any part of this Terms of Use (including this arbitration provision) is void or voidable.
CLASS ACTION AND JURY TRIAL WAIVER:
YOU AND COMPANY AGREE TO WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTES. FURTHER, NEITHER YOU NOR COMPANY WILL SEEK TO HAVE A DISPUTE HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. YOU AND WE EXPRESSLY WAIVE ANY RIGHT TO FILE OR PARTICIPATE IN A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS. No arbitration or proceeding can be combined with another without the prior written consent of all parties to the affected arbitrations or proceedings. If a court or arbitrator determines that this waiver of class or consolidated actions is invalid or unenforceable, neither you nor we are entitled to arbitration of the claims subject to that determination; instead, those Disputes will be resolved in a court of competent jurisdiction as set forth in the "Governing Law" section.
A. Small Claims Court Option. Subject to applicable jurisdictional requirements, either you or Company may elect to pursue a Dispute in a local small claims court rather than through the informal dispute resolution process or arbitration, provided the matter remains in small claims court and proceeds only on an individual (non-class, non-representative) basis. If one party has already initiated an arbitration demand, the other party may, before the arbitrator is appointed, inform the arbitral forum in writing that it chooses to have the Dispute resolved in small claims court. The arbitral forum shall then administratively close the arbitration case.
B. Mandatory Informal Dispute Resolution First. You and Company agree to make a good faith effort to resolve any Dispute informally before initiating arbitration. This is a mandatory prerequisite to arbitration. Except for Disputes eligible for small claims court or relating to intellectual property enforcement, the party initiating the Dispute must first send a written Notice of Dispute ("Notice") to the other party and attempt to make a good faith effort to resolve the Dispute. You must send any Notice to Company through certified mail to Company's registered agent and an electronic notice to the email below.
You consent to receive notices, including agreements, disclosures, and other communications, electronically from us at the email address you have provided, if any. You agree that electronic notices shall satisfy any legal requirements that Company has to you under these Terms of Use.
C. Arbitration Procedure. If a Dispute is not resolved informally or in small claims court, it shall be resolved finally and exclusively by binding individual arbitration administered by either ADR Services, Inc. ("ADR Services") (https://www.adrservices.com/) or National Arbitration and Mediation ("NAM") (https://www.namadr.com/), or another mutually agreed upon arbitrator, at the election of the party initiating arbitration.
The arbitration will be conducted by a single, neutral arbitrator in accordance with the chosen provider's then-current rules for consumer disputes (or other applicable rules as determined by the arbitrator), modified by these Terms of Use. The Federal Arbitration Act (FAA) governs this arbitration agreement.
The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve all Disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of the Terms of Use, including any claim that all or any part of the Terms of Use is void or voidable.
Arbitration may be conducted primarily through written submissions, or by telephone, videoconference, or in-person hearing. In-person hearings will take place in Hillsborough County, Florida. If the chosen venue creates an undue burden, the arbitrator may designate a more convenient location.
The arbitrator can award the same damages and relief on an individual basis that a court could award to an individual. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. Any award must be individualized and cannot affect other users or customers of Company.
This "Arbitration" section shall survive any termination of the Terms of Use and/or your relationship with Company.
Survival
The provisions of these Terms of Use, which by their nature should survive the termination of this Agreement shall survive such termination, including but not limited to the terms relating to disclaimers, limitations on liability, and rules regarding dispute resolution.
Waiver and Severability
No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of the Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
Entire Agreement
The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and Company regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
